Welcome to the Quasar website! These Terms of Use describe the terms and conditions applicable to your access and use of the Quasar website. This document is a legally binding agreement between you as the user(s) of the Sites (referred to as “you”, “your” or “user” hereinafter) and the Quasar Site entity listed in paragraph 2.1 below (referred to as “we”, “our” or "Quasar site" below).

1. Application and acceptance of the Terms

1.1 Your use of the Quasar Sites, Services and Products (collectively, the “Services” hereinafter) is subject to the terms and conditions contained herein as well as the Privacy Policy, Product Listing Policy and any other Site Rules and Policies that Quazar may publish from time to time. The promotional services referred to in the Quasar Free Membership Agreement shall include the highest rated, sponsored listing and any other services that Quasar may announce from time to time. This document and the Site's other rules and policies are collectively referred to below as the "Terms". By accessing the Sites or using the Services, you agree to accept and be bound by the Terms. Please do not use the Services or the Sites if you do not accept all of the Terms.
 

1.2 You may not use the Services and may not accept the Terms if (a) you are not of legal age to form a binding contract with Quasar, or (b) you may not receive any Services under the laws of Hong Kong or other countries/regions including The country/region in which you reside or in which you use the Services.
 

1.3 Quasar may modify any Terms at any time by posting the amended and restated Terms on the Sites. By continuing to use the Services or the Sites, you agree that the revised Terms will apply to you.
 

1.4 If you post to the Quasar Site or provide a translation of the English language version of the Terms, you agree that the translation is provided for convenience only and that the English language version will govern your uses of the Services or the Sites.
 

1.5 You may be required to enter into a separate agreement, either online or offline, with Quasar or our affiliate for any Service (“Additional Agreements”). In the event of any conflict or inconsistency between the Terms and an Additional Agreement, the Additional Agreement shall take precedence over the Terms with respect to that Service in question only.
 

1.6 The Terms may not be modified otherwise except in writing by an authorized employee of Quasar.

2. Provision of Services

2.1 The Quasar Contracting Entity you are contracting with is Quasar Hong Kong Limited if you are a registered member of the Sites registered or resident in Hong Kong or Macao. If you register in a jurisdiction outside of Hong Kong, Macao and Mainland China, you are contracting with Quasar Singapore E-Commerce Private Limited (incorporated in Singapore with Reg No. 200720572D). If you are registered or residing in Mainland China, you are contracting with Hangzhou CycadShop Advertising Co., Ltd.. Where some or part of the Services may be supported and provided by Quasar affiliates, Quasar may delegate some of the services to the companies and its affiliates, particularly Quasar (Europe) Limited which is incorporated in the United Kingdom, and which you agree may bill you for part of the Services.
 

2.2 You must register as a member of the Sites to access and use some of the Services. Furthermore, Quasar reserves the right, without prior notice, to limit access to or use of certain Services (or any features within the Services) to paying users or subject to other conditions that Quasar may impose in our discretion.
 

2.3 The Services (or any features within the Services) may differ in different regions and countries. No warranty or representation is given that a particular service, feature or functionality or the same type and extent of the Service or its features and functionality will be available to users. Quasar may, in our sole discretion, limit, deny or create a different level of access to and use of any Services (or any features within the Services) with respect to different users.
 

2.4 Quasar may operate, change, upgrade, impose conditions on, suspend or discontinue any Services (or any features within the Services) without prior notice except in the case of a fee-based service, such changes will not materially adversely affect paying users to enjoy this service.
 

2.5 Certain services may be provided by Quasar affiliates on behalf of Quasar.

3. Users in general

3.1 As a condition of accessing and using the Sites or Services, you agree that you will comply with all applicable laws and regulations when using the Sites or Services.

3.2 You agree to use the Sites or Services only for your own and internal purposes. You agree not to (a) copy, reproduce, download, republish, sell, distribute or resell any Services or any information, text, images, graphics, video, audio, directories, files, databases or listings; , etc. available on or through the Sites (“Site Content”), and (b) you will not copy, reproduce, download, aggregate or use any Site Content for the purposes of operating a business that competes with Quasar, or otherwise commercially exploit Site Content. Systematic retrieval of Site Content from the Sites to create or compile, directly or indirectly (whether through robots, spiders, automatic devices, or manual processes) a compilation, compilation, database, or directory, without the written permission of Quasar. The use of any content or materials on the Sites for any purpose not expressly permitted in the Terms is prohibited.
 

3.3 You should read the Quasar Privacy Policy which governs the protection and use of personal information about the users who own the Quasar website and our affiliates.
 

3.4 Quasar may allow users to access content, products or services offered by third parties through hyperlinks (in the form of word linking, logos, channels or otherwise), API or otherwise to the websites of those third parties. You are cautioned to read such websites' terms and conditions and/or privacy policies before using the websites. You acknowledge that Quasar does not control, does not monitor such third party websites, and will not be responsible or liable to anyone for such websites or any content, products or services available on such website. websites.
 

3.5 You agree not to take any action to undermine the integrity of the computer systems or networks of the Quasar Site and/or any other user nor to gain unauthorized access to such computer systems or networks.
 

3.6 You agree not to take any action that undermines the integrity of the Quasar site feedback system, such as by leaving positive feedback for yourself using secondary member IDs or through third parties or by leaving unsupported negative feedback for another user.
 

3.7 By posting or displaying any information, content or material (“User Content”) on the Sites or submitting any User Content to the Quasar Site or our representative(s), you grant an irrevocable right, A perpetual, worldwide, royalty-free, sublicensable license (through multiple levels) to the Quasar website to display, transmit, distribute, reproduce, publish, duplicate, adapt, modify, translate, translate, create derivative works, or use any or all User Content in any form, media or technology now known or not now known in any manner and for any purpose that may be useful to the operation of the Sites, provision of any Services and/or User business. 4. Member accounts

4.1 A User must be registered on the Sites to access or use certain Services (a Registered User is also referred to as a “Member” below). Except with Quasar's approval, a single user may only register one Member account on the Sites. Quasar may cancel or terminate a User's Member Account if Quazar has reasons to suspect that a User has registered or controlled two or more Member Accounts concurrently. Furthermore, Quasar may refuse a user's registration request for any reason.
 

4.2 Upon registration on the Sites, Quasar shall assign an account and issue a member ID and password (the latter chosen by a Registered User during registration) to each Registered User. The account may have a web-based email account with limited storage space for the member to send or receive emails.
 

4.3 The combination of Member ID and Password is unique to a single Account. Each Member is solely responsible for maintaining the confidentiality and security of the Member ID and password and for all activities that occur under your account. No member shall share, assign or permit the use of a member account, ID or password by another person outside the member's business entity. Member agrees to notify Quasar immediately if you become aware of any unauthorized use of your password or account or any other breach of your account security.

4.4 The Member agrees that all activities that occur under your account (including without limitation, posting any company or product information, clicking to accept any additional agreements or rules, subscribing to or making any payments for any Services, sending emails using an email account or sending SMS) will be deemed authorized by the Member.
 

4.5 Member acknowledges that sharing your account with other persons, or allowing multiple users outside of your business entity to use your account (collectively, “multiple use”), may cause irreparable harm to Quasar or other users of the Site. Member shall indemnify Quasar and our affiliates, directors, employees, agents and representatives against any loss or damages (including without limitation loss of profits) suffered as a result of the multiple use of your account. Member also agrees that in the event of multiple use of your Account or Member's failure to maintain the security of your Account, Quasar shall not be liable for any loss or damages arising from such breach and shall have the right to suspend or terminate Member's Account without liability to Members.

5. Member Responsibilities

5.1 Each Member represents, warrants and agrees that: (a) you have full power and authority to accept the Terms, grant the license and license and perform the obligations hereunder; (b) you will use the Sites and Services only for commercial purposes; and (c) the address you provide at registration is where your principal place of business is. For the purposes of this provision, no branch or liaison office shall be deemed to be a separate entity and your principal place of business shall be the seat of your principal office.
 

5.2 The Member will be required to provide information or materials about your entity, business or products/services as part of the registration process on the Sites or your use of any Service or Member account. Each Member represents, warrants and agrees that (a) such information and materials whether provided during the registration process or thereafter throughout continued use of the Sites or the Service are true, accurate, current and complete, and (b) you will maintain and promptly amend all information and materials to keep them true, accurate, current and complete .
 

5.3 By becoming a Member, you consent to your contact information being included in our buyer database and you authorize Quasar and our affiliates to share contact information with other users or otherwise use your personal information in accordance with the Privacy Policy.
 

5.4 Each Member represents, warrants and agrees that (a) you are solely responsible for obtaining all necessary third party licenses and permissions in connection with any User Content that you submit, post or display; (b) any User Content that you submit, post or display does not infringe or violate any of the copyright, patent, trademark, trade name, trade secret or other personal or proprietary rights of any third party (“Third Party Rights”); . (c) you have the right and authority to sell, trade, distribute or export the products or services described in the User Content, or sell, trade, distribute, export, offer, sell, offer or offer are not subject to the rights of any third party and (d) you and the Partners affiliates to any trade restrictions, sanctions or other legal restrictions imposed by any country, international organization or jurisdiction.

f) do not violate any applicable laws and regulations (including without limitation those governing export control, consumer protection, unfair competition, or false advertising) or promote any activities that may violate any applicable laws and regulations;
g) Does not contain any link directly or indirectly to any other websites containing any content that may violate the Terms.

5.6 Each Member represents, warrants, and agrees that you must:
a) carry on your activities on the Sites in accordance with applicable laws and regulations;
b) conduct your business dealings with other users of the Sites in good faith;
c) continue your activities in accordance with the Terms and any applicable Additional Agreements;
d) not use the Services or the Sites to defraud any person or entity (including without limitation selling stolen items, and using stolen credit/debit cards);
e) you will not impersonate any person or entity, or misrepresent yourself or your affiliation with any person or entity;
f) not to engage in spam or scams;
g) Not to engage in any other illegal activities (including without limitation, activities that would constitute a criminal offence, give rise to civil liability, etc.) or encourage or solicit any illegal activities;
h) does not involve attempts to copy, reproduce, exploit or expropriate the many directories, databases and proprietary listings of the Quasar Site;
i) does not involve any computer virus or other destructive device and code that has the effect of damaging, interfering with, intercepting, or expropriating any software, hardware system, data, or personal information;
j) does not involve any scheme to undermine the integrity of the data, systems or networks used by the Quasar Site and/or any user of the Sites or to gain unauthorized access to such data, systems or networks;
k) No, and your director(s), officer(s), controlling party(ies), affiliates and legal jurisdiction in which any of the aforementioned persons or entities are organized or have operations, are not persons or entities subject to any economic or fraudulent sanctions of any governmental entities or international or regulatory; And
l) Not to engage in any activities that would create any liability for Quasar or our affiliates.

5.7 Member may not use the Services and Member Account to engage in activities identical or similar to Quazar's e-commerce marketplace business.
 

5.8 In the event that a Member submits a business arbiter, the Member represents, warrants and agrees that you have obtained all necessary approvals, consents and releases from your business partners and associates to (a) act as your commercial arbitrator; (b) post and publish their contact information, information, reference letters, and comments on their behalf; and (c) third parties may contact such commercial referees to support claims or statements they make about you. You further warrant and agree that all reference messages and comments are true and accurate and that third parties may contact Trade Referees without having to obtain your consent.
 

5.9 The Member agrees to provide all necessary information, materials and consent, to provide all reasonable assistance and cooperation necessary for the provision of the Quasar Services, to assess whether the Member has breached the Terms and/or to handle any complaint against the Member. If a Member's failure to do so results in a delay, suspension or termination of the provision of any Service, Quasar shall not be obligated to extend the relevant period of Service and shall not be liable for any loss or damage arising from such delay, suspension or termination.
 

5.10 Member acknowledges and agrees that Quasar shall not monitor or exercise any editorial control whatsoever over the content of any message, material or information created, obtained or accessed through the Services or the Sites. Quasar does not endorse, verify or otherwise endorse the contents of any comments, materials or other information provided by any Member. Each Member is solely responsible for the contents of their Communications and may be liable or liable for the content of their Comments or other materials or information.
 

5.11Member acknowledges and agrees that the Services may only be used by companies and their representatives for commercial use and not for individual consumers or personal use.
 

5.12 Member acknowledges and agrees that each Member is solely responsible for observing applicable laws and regulations in their respective jurisdictions to ensure that all use of the Website and Services comply with the same.
